By accessing or using our services, you agree to these Terms & Conditions (“Terms”).
These terms are designed to protect both you and us, ensuring a clear understanding of our responsibilities and limitations. Please read carefully before engaging with our services.
1. Acceptance of Terms
By using Chaudhary services — including but not limited to website development, mobile app development, digital marketing, branding, and related services — you agree to comply with these Terms.
If you do not agree, please do not use our services.
2. Eligibility
Services are available to individuals aged 18 and older, businesses, and organizations.
By creating an account or engaging our services, you represent that you have the authority to enter into this agreement.
Clients are responsible for maintaining the confidentiality of login credentials, and all actions taken under their account are their responsibility.
3. Services Provided
Chaudhary Solution offers a wide range of services, including but not limited to:
- Website & Mobile Application Development
- Website Maintenance & Hosting Assistance (provided through third-party hosting partners like Dcore Host)
- Digital Marketing (SEO, Social Media Marketing, Email/SMS/WhatsApp Marketing, Google & Meta Ads, PPC campaigns)
- Graphic Design, Logo Design, Branding, and Labeling
- Video Editing & Influencer Growth Marketing
Services may be offered on a one-time project basis or as ongoing subscriptions, depending on your chosen package.
4. Project Commencement & Payment Terms
Website & App Development:
- A non-refundable token amount of 20%–25% of the project cost is required to begin work.
- The remaining balance is due after delivery or in milestones as mutually agreed.
Digital Marketing Services:
- Require 100% upfront payment before campaigns are launched, as they involve non-recoverable third-party expenses (e.g., ad spends, tools, subscriptions).
Large-scale or Custom Projects:
- Flexible payment plans may be arranged, detailed in the project proposal or agreement.

5. Refunds & Cancellations
Refunds are only considered if:
- No work has started before the agreed project start date.
- Chaudhary fails to deliver services solely due to its own fault.
Non-Refundable Situations:
- Once initial design, planning, or development work has begun.
- Delays caused by the client’s lack of approvals, missing information, or communication gaps.
- Digital marketing campaigns or ads that are already executed.
- Subscriptions or ongoing services not canceled 10 days before the next billing cycle.

6. Client Responsibilities
To ensure smooth project delivery, clients must:
- Provide accurate and complete information, content, and materials required for the project.
- Respond to approval requests and feedback promptly to avoid delays.
- Obtain necessary permissions and licenses for any third-party content (images, videos, text) they provide.
- Comply with advertising platform policies, including Google, Meta, or other networks used in campaigns.
- However, when the client uses the services provided by Chaudhary,Chaudhary will not be liable or held responsible for any wrongful use of the services provided.
Failure to meet these responsibilities may result in delays, extra charges, or termination of services.
7. Intellectual Property Rights
Before Full Payment:
- All designs, code, content, and deliverables remain sole property of Chaudhary Solution
After Full Payment:
- AOwnership of the final deliverables is transferred to the client, except for third-party licenses, libraries, or tools, which remain subject to their respective licenses.
- Chaudhary retains the right to display completed work in its portfolio, case studies, and marketing materials, unless explicitly prohibited by a written NDA.
Clients may not resell, redistribute, or copy our work without prior written consent.
8. Third-Party Tools & Services
- Chaudhary may integrate or use third-party software, APIs, or resources, such as hosting services, plugins, analytics tools, or ad networks.
- While we carefully select trusted partners, we cannot guarantee their performance, uptime, or future availability.
- Clients are responsible for complying with third-party terms, such as Google Ads policies or hosting service agreements.
9. Marketing Performance Disclaimer
- Digital marketing inherently involves variables beyond our control, such as search engine algorithms, competitor actions, and market trends.
- Chaudhary does not guarantee specific sales, leads, or traffic levels.
- Our role is to implement proven strategies, but business outcomes depend on multiple external factors.
10. Limitation of Liability
Chaudhary is not liable for:
- Losses caused by client delays or non-cooperation.
- Downtime or outages of third-party services such as hosting, ad platforms, or APIs.
- Indirect, incidental, or consequential damages, including lost profits.
- For development projects, post-delivery bug fixes are offered for up to 3 months unless otherwise agreed.
Our maximum liability is limited to the total amount paid by the client for the specific service in question.
11. Data Protection & Privacy
- Chaudhary collects basic client data (e.g., name, email, phone) for account setup, project communication, and service personalization.
- Sensitive data (such as payment details) is handled securely and never sold to third parties.
- Data may be shared only with trusted service partners, such as hosting providers or marketing platforms, strictly for service delivery purposes.
- Our privacy practices comply with India’s IT Act, 2000 and GDPR standards for international clients.

12. Communication & Support
- Clients will be assigned a dedicated sales representative for pre- and post-onboarding communication.
- Technical or design-related matters will be handled by the IT Project Manager.
- Support is available via email, phone, or official ticketing systems during business hours.
13. Termination of Services
Chaudhary reserves the right to suspend or terminate services if:
- The client fails to make timely payments.
- The client engages in illegal, unethical, or harmful activities using our deliverables.
- There is repeated non-cooperation or breach of these Terms.
Upon termination:
- All unpaid balances remain immediately due.
- TAccess to deliverables may be withheld until settlement.
14. Governing Law & Dispute Resolution
- These Terms are governed by the laws of India.
- Any disputes will first be addressed through good-faith negotiation and mediation.
- If unresolved, disputes will fall under the exclusive jurisdiction of courts in Faridabad, Haryana, India.
15. Force Majeure
Vaani Live will not be held responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, platform outages, strikes, or government actions.
16. Updates to Terms
We may update these Terms periodically to reflect changes in laws, services, or business operations.
- Updated terms will be posted on our website with a “Last Updated” date.
- Continued use of our services constitutes acceptance of the revised terms.
